The Team
The Grants and Contracts Team (GCS) team is part of the operations division and partners with colleagues from across the foundation in the development and execution of well-crafted grants and contracts. GCS is flexible and agile in our support structure to manage workload ?variability and apply a right-sized approach to investment making and management.
Your Role
This role sits on the foundation’s Contracts Solutions team and is a member of a team of attorneys and contracts professionals responsible for managing and overseeing the foundation’s contracts work. Responsible for working directly with foundation operations and program teams to draft and negotiate their contracts, to help them develop good contracting practices, and to educate and advise them on the risks inherent in their contracts as well as strategies to mitigate those risks. They will engage with colleagues in GCS, Legal, and others to optimize contract systems, templates, and processes.
What You’ll Do
Drafting, reviewing and negotiating contracts (and amendments) with an emphasis on consistency, clarity and compliance with applicable laws, policies, processes and best practices
Engaging with internal clients, including establishing good working relationships, understanding their objectives, and completing their contracts in a smooth and efficient manner
Mastering foundation policies, processes, systems and best practices
Leading or facilitating negotiations between multiple parties within and outside the foundation
Providing training and guidance to colleagues and internal clients regarding contracts and foundation policies, processes, systems and best practices related to contracts
Contributing to projects and other continuous improvement efforts, including the optimization of foundation contract templates, processes and playbooks
Negotiate and implement vendor contracts/agreements by working with cross-functional stakeholders and vendors to reach agreement on contract terms and conditions
*This position is a limited-term position for 12 months. Relocation will not be provided. This is a salaried position with benefits.
Your Experience
Strong background in contracts management, including experience in reviewing, redlining, and negotiating a contract’s business and legal terms
Paralegal certificate or law degree a plus
Experience with technologies and processes for contract automation, strategic sourcing, vendor management, procurement, and risk management a plus
Understanding of legal terms in commercial contracts and how they apply to a set of facts or circumstances
Explaining legal concepts and their significance to clients
Being a strong advocate for the interests of the foundation – both internally and in negotiations with third parties – and excelling at negotiating business and legal terms
Translating client objectives into clear and concise statements of work and business terms
Understanding the norms and perspectives of other organizations and industries and how they may impact contract negotiations
Having strong negotiation skills and commercial acumen
Strong analytical and creative problem-solving skills
Excellent written and verbal communication skills
A passion for process, efficiency, continuous improvement and change management
Developing good working relationships based on trust, transparency and collective success
Working collaboratively with colleagues across the foundation; knowing when and how to engage with other stakeholders and decision-makers
Ability to thrive in a fast-past, ever changing work environment
